Fred is a seasoned trial attorney, litigator, and advisor. His clients include publicly traded corporations and privately owned businesses. They are manufacturers, technology firms, retailers, distributors and service providers. They operate in the aerospace, retail and the telecommunications industries - and everywhere in-between. Their issues range from simple breach of contract disputes to bet-the-company litigation. Faced with that diverse set of challenges, Freds clients rely on him to achieve their objectives in a predictable and efficient manner. Fred is the Practice Group Leader of the Litigation Group. He represents clients in complex commercial litigation and arbitration matters in state and federal courts throughout the United States. He focuses his practice in five principal areas: Shareholder and Corporate Governance Disputes: Fred represents businesses, business owners, officers and directors in disputes concerning company governance and control, including fiduciary duty claims, minority shareholder oppression claims, corporate opportunity claims, and corporate deadlock claims. Trade Secret Misappropriation and Restrictive Covenant Disputes: Fred represents businesses and individuals in disputes concerning proprietary business information and customer relationships, including trade secret misappropriation as well as non-compete and non-solicitation covenant claims. Unfair Competition and False Advertising Disputes: Fred represents businesses in disputes involving their competitors, including false advertising, anti-competitive conduct, tortious interference with business relationships, corporate raiding, product disparagement, and other forms of unfair competition. Business-Critical Contract Disputes: Fred counsels and represents clients in business-critical contractual disputes involving their suppliers, distributors, and clients, ranging from routine disagreements to bet-the-company litigation. Post-Acquisition Disputes: Fred represents sellers and buyers in disputes arising from M&A transactions, including working capital adjustment claims, earn-out claims, breaches of representations and warranties and fraud. Fred has more than eighteen years of litigation experience. He has represented clients in jury and bench trials, preliminary injunction hearings, appeals and other court proceedings. He counsels and represents clients in trade matters in the Court of International Trade. He also has extensive experience in all aspects of e-discovery, forensic investigations, and the use of technology in adversarial proceedings. Before embarking on his legal career, Fred worked in numerous business roles. He is bilingual in English and Russian.
