Plaintiff contends, in his hand-written complaint filed on May 21, 2025, that he and the defendant Jason Patterson both are or have been members of a joint venture, 19 Mendon Road, LLC ("LLC"). Plaintiff further contends that in a transaction arising in June and July of 2024, he loaned the defendant $110,000.00 to purchase the property located at 19 Mendon Road, North Attleborough, Massachusetts ("Property"), improved by a single-family residence. In exchange for the loan, plaintiff maintains, the defendant granted the plaintiff both membership in the LLC and a junior mortgage encumbering a separate property owned by a separate entity controlled by the defendant, and agreed to repay the plaintiff $165,000.00. The plaintiff asserts that payment on the loan was set to begin on January 31, 2025, and that the only check he has received in payment from the defendant could not be cashed for insufficient funds. Plaintiff now seeks a temporary restraining order enjoining the defendant from conveying the Property and from removing the plaintiff as an officer of the LLC on the Secretary of the Commonwealth's Corporations Database entry for 19 Mendon Road, LLC. The court expressed its profound concern that this case was not one over which the court has jurisdiction. Although the single-family residential Property is the subject of the alleged joint venture between the parties, the dispute alleged in the complaint does not directly concern the ownership and title of land, but rather is a case about a business venture, and funds lent and allegedly not repaid. The crux of the dispute relates to the financial dealings between the plaintiff, 19 Mendon Road, LLC, and the defendant, and their alleged joint venture to develop and sell a piece of improved real estate and yield a profit. The plaintiff avers that he seeks repayment of the loan in the form of money damages. This is relief which this court is not empowered to grant. A case such as this, concerning not title to the subject Property, but the contractual dealings and financial obligations between parties to the Property's purchase and development, is more aptly suited for the Superior Court Department, potentially in Bristol County, where the Property is located, or where the defendant is based. The plaintiff confirmed that he has not had counsel to assist him during either the negotiations that led to his financial arrangement with the defendant, nor now during his attempt to obtain relief against the defendant. The court strongly urged the plaintiff to seek the assistance of counsel, who would advise and direct plaintiff going forward. The court also cautioned that the plaintiff, whether he pursues his claims with or without counsel, will need to identify an address for the defendant where the defendant can be served with notice of any action against him. Given this court's assessment that it lacks subject matter jurisdiction over this case, the court finds itself unable to enter a temporary restraining order as requested, or any other preliminary relief. The court will defer taking other action in this case, allowing the plaintiff to determine whether and where to continue litigating this dispute.
